Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and PrecisionSpend ("PrecisionSpend", "we", "us") governing your access to and use of the PrecisionSpend web application and related services (collectively, the "Service").

By creating an account, clicking "I Agree", or otherwise accessing the Service, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction, if higher) and have the legal capacity to enter into these Terms. The Service is not directed to anyone under 18, and we do not knowingly allow them to create an account or purchase a subscription.

PrecisionSpend is a personal finance tracking platform that allows users to:

• Log and categorise income and expenses
• Set and track spending budgets
• Generate financial reports and exports
• Compare spending across time periods

The Service is intended for personal and small business finance management only. It does not constitute financial, investment, tax, or legal advice.

To access most features, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your password and immediately notify us of any unauthorised use
• Accept responsibility for all activity that occurs under your account
• Not share your account credentials with any third party

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for more than 24 months.

Electronic communications: By creating an account, you consent to receive communications from us electronically (including transactional, service, security, and legal notices) by email or within the app. You agree that these electronic communications satisfy any legal requirement that such communications be in writing.

Free Trial: New users may access the full Service free for thirty (30) days (the "Free Trial"). No credit card is required to start a Free Trial. At the end of the Free Trial, your account will automatically convert to the Free tier (limited features); continued access to Pro features requires a paid subscription, which you may purchase at any time.

Pro Plan: Pro is available on a monthly or annual basis. The current price for each billing interval is shown on our Pricing page and confirmed at checkout before you pay. A Pro subscription is a recurring charge (not a trial) and renews automatically each billing period until you cancel.

Promotional code "EARLYBIRD": During our early-bird launch period, applying the code EARLYBIRD at checkout grants a reduced rate (shown at checkout) that stays locked in for as long as your subscription remains continuously active. The early-bird rate is a one-time benefit per account: if a subscription billed at the early-bird rate is cancelled, any later re-subscription is at the then-current standard rate. The promotion may be withdrawn or changed at any time for new subscribers; subscribers who already applied it keep their locked-in rate.

Price changes: Standard prices may change with at least thirty (30) days' notice to active subscribers; a new price applies only to billing periods beginning after the notice period. Locked-in early-bird rates are not affected by standard-price changes.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. We do not provide pro-rated refunds for partial periods unless required by law.

Refund Policy: If a technical issue prevents you from using the Service and we cannot resolve it within 7 business days, you may request a full refund of your most recent charge within 30 days of that charge. Issuing a refund cancels your Pro subscription; your account reverts to the Free tier when the refund is processed. If we resolve the issue within that period, your subscription continues as normal; for significant disruption we may, at our discretion, credit your account or extend your billing period. Otherwise, subscription fees are non-refundable except where required by law. (New users can evaluate every Pro feature during the 30-day free trial before any charge.)

All payments are processed by Stripe Inc. PrecisionSpend does not store credit card details on its servers.

You agree not to use the Service to:

• Violate any applicable law or regulation
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Conduct penetration testing, vulnerability scanning, or fuzzing without prior written consent
• Introduce malware, viruses, or malicious code
• Scrape, harvest, or extract data from the Service in bulk without permission
• Impersonate any person or entity
• Use the Service for money laundering or any other illegal financial activity
• Reverse engineer or decompile the Service

The Service and all content, features, and functionality (including but not limited to text, graphics, logos, icons, software, and code) are owned by PrecisionSpend and are protected by applicable intellectual property laws.

You retain ownership of all financial data you enter into the Service. By using the Service, you grant PrecisionSpend a limited, non-exclusive licence to process your data solely to provide the Service.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

Feedback: If you send us feedback, ideas, or suggestions about the Service, you grant PrecisionSpend a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose without restriction or any obligation to you. We are not required to treat feedback as confidential.

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in our Privacy Policy.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Any defects will be corrected
• The Service is free of viruses or other harmful components
• The financial data calculations are suitable for tax or legal purposes

PrecisionSpend is a budgeting tool, not a financial advisor. Nothing in the Service constitutes financial, investment, or tax advice.

You agree to indemnify, defend, and hold harmless PrecisionSpend and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms. Upon termination, all rights granted to you will immediately cease.

You may delete your account at any time. Upon account deletion, we will delete your personal data in accordance with our Privacy Policy, except where retention is required by law.

Informal resolution first: If you have a dispute with us, please email hello@precisionspend.com before starting any formal proceeding. We will try in good faith to resolve it within thirty (30) days. Most concerns are settled this way.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. If a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

If you are a consumer in the European Union, you may also be entitled to bring a claim in the courts of your country of residence, and nothing in these Terms limits the mandatory consumer-protection rights you have under your local law.

We reserve the right to modify these Terms at any time. We will provide at least 30 days notice of material changes by email or prominent in-app notification. Your continued use of the Service after the effective date of changes constitutes acceptance.

If you do not agree to the updated Terms, you must stop using the Service and may request account deletion.

• Entire agreement: These Terms and our Privacy Policy are the entire agreement between you and PrecisionSpend regarding the Service and supersede any prior agreements.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
• Waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure: We are not liable for any failure or delay caused by events beyond our reasonable control.
